STEP 1

Initial Consultation

After speaking with one of our Client Intake Specialists, you will be scheduled for a consultation with our experienced business legal team. Our consultations typically occur over the phone but can be in-person or online upon request.  

The attorney’s goal during the consultation is to identify the needs of your business and any potential areas of concern.  

Some common areas are:  

  • determining the right type of business entity for your business;  
  • contract review;  
  • compliance with regulatory requirements;
  • shareholder agreements;  
  • operating agreements;
  • partnership agreements;
  • protection of intellectual property;
  • access to corporate records and/or an accounting;  
  • protecting your business ownership interest;  
  • business break-ups; and  
  • buyout agreements.  

Our attorneys also want to hear what your expectations and goals are for the business or your desired outcome for the issue at hand. If you decide to hire us as your trusted advisor, the attorney will take the information gathered during the consultation and create a personalized legal plan.

Information Gathering, Strategy and Next Steps

Because business cases can vary widely, your legal team will likely need to gather more information. We will be requesting additional information from you in the form of follow-up questions and additional documentation. Once we have a clear understanding of the legal issues, we will work closely with you to establish a game plan moving forward that meets or exceeds your goals and expectations.

STEP 3

What Type of Case do you Have?

Business Start Up.  If you are looking to get your business up and running, this is what you can expect:  

  • Our experienced legal team will determine the best type of business entity for your business;  
  • You will determine what name you want for your business, and our legal team will ensure its availability;
  • We will draft and file all documents necessary to incorporate your new entity with the Secretary of State;
  • We will apply for and obtain an EIN for your new business;  
  • We will draft any appropriate Shareholder or Operating Agreements;  
  • We will review any contracts you intend to utilize in your business, including vendor agreements and employment agreements;  
  • We will prepare your annual meeting minutes and file your annual report;
  • We will continue to be available for you for any questions you have throughout the year.  

Continuing Business. Do you have a business you are operating without the formalities in place?  

If you’ve been running your business without adhering to corporate formalities, you could be putting your business and yourself (personally) at risk for liability.  Our trusted attorneys can review your business as is and bring your business into compliance. Business Disputes. Do you have an issue with your business partner, shareholder, debt collection, or intellectual property?

If you are experiencing a business dispute, you can expect the following:  

  • We will gather all relevant information in order to determine all available options;  
  • We will discuss all relevant options with you in order to determine the best course of action for you and your business;  
  • We will determine if immediate action is necessary, such as filing for an emergency temporary restraining order or injunctive relief in order to stop the ongoing harm from continuing;  
  • We will determine if a settlement is possible either through the attorneys brokering a settlement or if there is a high probability of success through mediation;  
  • If settlement is possible, we will draft the settlement agreement and ensure full compliance with the settlement terms;  
  • If settlement is not possible, we are fully prepared to fight for you in court and will prepare the necessary documents to file a lawsuit;  
  • If a lawsuit is necessary, we will keep you apprised of all court appearances and phases of litigation.
  • We will work on all aspects of litigation with you, the client, in mind and knowing that litigation is the last thing business owners what to spend their hard-earned money on.
