Business owners may file LLC formation documents directly with the Illinois Secretary of State. However, the state filing does not automatically address management authority, ownership percentages, voting rights, profit distributions, partner departures, or dispute procedures. An attorney can help determine whether an LLC fits your goals and prepare documents that address how the company will actually operate.
A written operating agreement can be useful even when an LLC has only one owner. It can document the owner’s authority, explain how business funds and records will be handled, and help show that the company is being operated separately from the owner’s personal affairs.
