The FDD contains 23 required disclosure items. Key areas to scrutinize with an attorney include: Item 19 (Financial Performance Representations) — if the franchisor makes earnings claims, understand the basis and how they apply to your market; Item 20 (Outlets) — how many franchises have opened, closed, or been terminated; Item 21 (Financial Statements) — the franchisor's financial health; Items 8–9 (Restrictions on Suppliers and Goods) — limits on where you can buy products; and Territory exclusivity — whether your geographic area is truly protected. Never sign a franchise agreement without having an attorney review the FDD first.
Yes, but Illinois provides important protections. Under the Illinois Franchise Disclosure Act, franchisors generally must provide written notice and an opportunity to cure a default before terminating a franchise — except in cases of egregious violations. The FDD and franchise agreement will specify the grounds for termination and the cure period. If a franchisor terminates a franchise without proper grounds or procedure, the franchisee may have claims for wrongful termination and damages including lost profits and the value of the business. Non-renewal without proper notice is similarly regulated.
